MEZZANINE LENDER

A $400 million mezzanine fund engaged FMI Corporation to assist them in their due diligence of a business with $800 million in annual sales. FMI relied heavily on a proprietary due diligence tool referred to as a “value driver analysis” to evaluate the target company. The value driver analysis was developed by FMI to provide a framework for identifying the key issues that impact the risk profile, operating performance, and value of a firm within a specific sector of the industry. FMI’s evaluation also included an assessment of the target’s strengths and weaknesses, key strategic issues, as well as FMI’s view on valuation and deal structure.

MIDDLE-MARKET PRIVATE INVESTMENT FIRM

FMI Corporation provided M&A Advisory services to several private equity investors during their pursuit of a $300 million power construction and maintenance firm. FMI provided an in-depth analysis of the industry, including growth prospects, risk issues, and an assessment of the competitive landscape. In addition, FMI provided a preliminary evaluation of the target and provided assistance in formulating pricing and deal structure.

PRIVATE INVESTMENT ARM OF A NON-REGULATED PUBLIC UTILITY

The private investment arm of a non-regulated public utility engaged FMI Corporation to assist in acquisition due diligence of a $1.5 billion publicly held construction-related firm. FMI conducted a high-level operational and strategic evaluation of the target firm and identified the key risk issues in the business and industry segment. FMI also conducted due diligence on several operating subsidiaries and delivered a detailed evaluation of the subsidiaries’ strengths and weaknesses in areas such as market positioning, project management and controls, marketing and business development, management information systems, management depth, and safety.

MIDDLE-MARKET PRIVATE INVESTMENT FIRM

FMI Corporation was engaged to provide an assessment of our client’s portfolio company, which manufactures products for the civil engineering market. The company was the clear market leader in its product class domestically, and to a lesser extent internationally, but sales growth was slowing and competitors were making inroads in the channel with cheaper offerings. Our client hired FMI to refine its market size determinations, review its marketing and distribution functions, and make recommendations on driving future demand for the products and how to best organize its channel programming.

MIDDLE-MARKET PRIVATE INVESTMENT FIRM

Our client hired FMI Corporation to evaluation an investment opportunity in the curtain wall industry. The target was well known for certain proprietary wall systems and processes particularly attractive to the Class A commercial high rise market. FMI profiled the company’s industry and its participants, evaluated the company’s proprietary value proposition, made estimates for national demand, and more generally provided guidance on the merits of the prospective investment opportunity.
